Private equity funds, be they buy-out funds or venture capital funds, usually request a board seat in companies they are investing in. Given their strategic and financial approach and exit plans, the presence of their representative(s) on board of directors often leads to substantial changes and a new dynamic.
The event aims at describing and discussing special rules applying to board of directors of private equity-backed companies, as well as typical issues arising in such boards, such as insolvency/article 725 CO issues, conflicting strategies and issues related to exit strategy and terms.
