The European venture capital (VC) market picked up and proliferated after the 2008 economic breakdown but faced a sharp slowdown in the second half of 2022 and 2023. Starting the recovery from the impact of the Covid-19 pandemic, Russia’s invasion of Ukraine elevated geopolitical tensions and caused a global economic slowdown. As for many other industries, the increasing macroeconomic volatility, with rising inflation and supply disruptions, has severely affected the venture capital market.

With an impressive client portfolio and strong results, Swisslinx is market leader in the Swiss financial services sector. The full acquisition of the company fits within the buy-and-build strategy of Axiom Partners. Niederer Kraft Frey (NKF) represented the Buyers as Legal advisor whereas WalderWyss advised the Sellers. RoseEdge Capital acted as debt advisor for Axiom during the process. PwC Advisory assisted Axiom on financial and commercial due diligence.

Die Transaktion wird mit rund 365 Mio. Euro bewertet. Nach Berücksichtigung von Abzugspositionen, Minderheitenpositionen, variablen Vergütungen und Transaktionskosten fliesst AURELIUS ein Betrag von rund 200 Mio. Euro zu (Equity Value). Die Firma Distrelec gehörte vorher zur Datwyler.

The financing was co-led by new investors Andera Partners and Earlybird Venture Capital, with participation from existing investor Pureos Bioventures, now doubling its original investment in the Company.

ZKB IPO-Newsletter Q1 2023

Der SPI konnte in den ersten drei Monaten des Jahres 2023 an den positiven Jahresabschluss anknüpfen und beendete das erste Quartal 5.9% über dem Schlussstand des Vorquartals. Auch andere europäische und globale Aktienindizes schlossen das Q1 2023 mit einem Plus im mittleren bis hohen einstelligen Prozentbereich ab. Die zwischenzeitliche Kurskorrektur im März als Folge des Zusammenbruchs der Silicon Valley Bank sowie der Vertrauenskrise bei der Credit Suisse konnte unter anderem durch das entschiedene Eingreifen der Notenbanken schnell wieder aufgeholt werden. Das Risiko weiterer Kurseinbussen bleibt dennoch bestehen.

Die IPO-Aktivität auf den europäischen und nordamerikanischen Märkten blieb gemäss Andreas Neumann, Leiter Equity Capital Markets bei der Zürcher Kantonalbank, zum Jahresauftakt auf einem tiefen Niveau. Bei insgesamt weniger als 75 Börsengängen in Europa und Nordamerika resultierte ein Emissionsvolumen von EUR 5.2 Mrd., womit das IPO-Aufkommen im Q1 2023 deutlich unter den ersten drei Monaten des Vorjahres ausfiel. Die SIX Swiss Exchange konnte im ersten Quartal zwar kein "echtes" IPO verzeichnen, dennoch durfte die Schweizer Börse zwei Neuzugänge durch die Ausgabe von Global Depository Receipts (GDRs) begrüssen.
